INTELLECTUAL PROPERTY
At Blue Outdoor, we recognize the significance of intellectual property (IP) as a key asset in delivering innovative and effective advertising solutions. This policy outlines the ownership, use, and protection of intellectual property created or developed in the course of our work with clients, partners, employees, and contractors.
Ownership of Intellectual Property
All intellectual property created, developed, or conceived by Blue Outdoor, its employees, contractors, or partners during the course of work for clients—including but not limited to creative assets, designs, campaigns, slogans, logos, content, and advertisements—shall be owned by Blue Outdoor unless otherwise agreed in writing.
For clients, any intellectual property specifically developed for them (e.g., custom logos, trademarks, advertisements, or content) will be transferred to the client upon full payment and fulfillment of the terms in the service agreement, subject to any pre-existing rights Blue Outdoor holds. Blue Outdoor retains ownership of any underlying creative assets, methodologies, and intellectual property that existed before the client relationship or that is used across multiple campaigns.
Client's Retention of Intellectual Property Rights
Notwithstanding Blue Outdoor’s ownership of certain intellectual property, the client shall retain all rights, title, and interest in any intellectual property they provide to Blue Outdoor, including but not limited to trademarks, logos, brand guidelines, proprietary content, or other materials provided for the purpose of the advertising campaign. Blue Outdoor acknowledges that such client-provided IP is the exclusive property of the client and shall not be used outside the scope of the agreed-upon project or without explicit permission from the client.
Use of Intellectual Property
The intellectual property created by Blue Outdoor is intended for use in accordance with the specific advertising campaigns, projects, and initiatives contracted between Blue Outdoor and the client. Any use of Blue Outdoor’s intellectual property outside the scope of these projects, or any unauthorized reproduction, distribution, or modification, is strictly prohibited.
Clients, partners, and contractors are prohibited from using Agency-owned intellectual property for any purposes not expressly permitted under the terms of the service agreement or other related contracts.
Protection of Intellectual Property
Blue Outdoor is committed to protecting its intellectual property and that of its clients. Blue Outdoor will take all necessary legal steps to protect the ownership and integrity of intellectual property through copyright, trademark, patent registration, and other legal measures. Clients and contractors agree to maintain confidentiality of all proprietary information and intellectual property related to the advertising services provided by Blue Outdoor.
Licensing and Third-Party Rights
If any third-party intellectual property is incorporated into a campaign or advertisement (e.g., stock images, music, or external content), Blue Outdoor will ensure that all necessary licenses are obtained and that these third-party rights are respected. Similarly, Blue Outdoor may license its intellectual property to clients or third parties in accordance with written agreements, outlining the specific terms and limitations of such use.
Duration of Policy
This policy remains in effect for the duration of the working relationship between Blue Outdoor and its clients, employees, contractors, and partners. Any post-termination rights or obligations regarding intellectual property ownership, confidentiality, or licensing will continue as specified in the relevant contracts or agreements.
Dispute Resolution
Any disputes related to the ownership, use, or protection of intellectual property will be resolved according to the dispute resolution procedures outlined in the service agreement or other contractual agreements. This may include mediation or legal proceedings, as necessary.
By entering into an agreement with Blue Outdoor, clients, employees, contractors, and partners acknowledge and agree to the terms of this intellectual property policy.
